A new Canadian energy “giant” is in the making following escalating trade tensions with the United States, Ottawa’s infrastructure push, and pivotal decisions by two major corporations. Emera Inc. from Halifax and Canadian Utilities based in Calgary have unveiled a merger plan to create a combined entity valued at $72 billion, positioning them as one of the largest utilities in North America.
At the same time, Atco Ltd., the controlling shareholder of Canadian Utilities, is shifting its focus towards defense, housing, and infrastructure in remote areas, aligning with government priorities. The merger discussions began 15 months ago when Emera’s Scott Balfour approached Atco’s Nancy Southern with the vision of establishing a strong Canadian energy company to meet the rising demand for power services.
The merged company will operate under the Emera brand, maintaining its headquarters in Halifax and operational bases in Calgary and Edmonton. The combined entity is expected to cater to six million customers across Canada, the United States, Mexico, the Caribbean, and Australia. The new Emera-Canadian Utilities entity plans to invest $32 billion in capital projects by 2030, with a focus on high-growth regions in Florida and Alberta.
Southern will lead the restructured Atco while co-chairing Emera’s board post-merger. The deal involves Emera acquiring all outstanding shares of Canadian Utilities for $14.3 billion, with Emera shareholders owning 60% and former Atco and Canadian Utilities shareholders holding 40% of the combined utility. Shareholder approval is expected early next year, pending regulatory and court clearances in various jurisdictions.
The move is part of a strategic realignment to enhance business focus and capitalize on emerging opportunities in defense, energy security, and housing sectors. Southern believes this change will unlock greater value for Atco’s businesses and attract a new investor base. The transaction signifies a significant step towards creating a powerhouse in the Canadian energy sector, poised for sustainable growth and innovation.
